These terms cover the Zephico website, Jhaveri, business and staff accounts, and WhatsApp-related features. If your organization has a separate signed agreement with Zephico, read the clause on which document controls below.
1. Acceptance of terms
By accessing or using the Zephico website or Jhaveri, you agree to these Terms and Conditions. If your organization has a separate written agreement with Zephico (for example, a master services agreement or order form) that conflicts with these public terms, that separate agreement controls for the parties to it, subject to legal review of the specific conflict.
3. Description of services
Zephico provides a website and Jhaveri, a multi-tenant technology platform for jewellery businesses covering catalogue management, seller and customer applications, customer communication, and optional integrations including the WhatsApp Business Platform. We do not guarantee uninterrupted availability of any of these services — see Availability and modifications.
Zephico's role is to build, maintain and operate the Jhaveri software, and to provide the specific technical services described in these terms — including OTP verification and transactional messaging where applicable. Jhaveri is sold as software: a business's sales, customer engagement or other business outcomes depend on how it uses the software and on its own setup (including its own WhatsApp Business Account, where used), not on a guarantee from Zephico.
4. Accounts and security
You agree to:
- Protect your account credentials
- Provide accurate account information
- Notify Zephico promptly of any unauthorised access
- Maintain appropriate employee permissions within your account
- Never share passwords, OTPs, access tokens or verification codes
Subject to applicable law, you remain responsible for activity that occurs under your account.
5. Jewellery business responsibilities
Each jewellery business using Jhaveri is responsible for:
- Its own products, prices, purity, weight, availability and descriptions
- Representations it makes to its customers
- Its own orders, refunds, deliveries and warranties
- Jewellery schemes it runs and the legal compliance those require
- Its own taxes and invoices
- Its own customer support
- Obtaining the customer consent its communications require
- Maintaining any legally required records
- The accuracy of content it uploads
- Staff activity under its account
- Compliance with applicable consumer, advertising, privacy and messaging laws
- Setting up and maintaining its own WhatsApp Business Account, where it chooses to use WhatsApp features — Zephico does not set this up or operate it on the business's behalf
Zephico provides the technology. It is not automatically the seller of jewellery displayed through a business's Jhaveri account.
6. WhatsApp and Meta integration terms
Where a business connects its own WhatsApp Business Account to Jhaveri:
- The business must have authority to connect and operate that account.
- The business is responsible for the eligibility and control of its own phone number.
- Meta may require phone-number verification by SMS or voice call.
- The business must comply with the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and applicable Meta terms.
- The business is responsible for customer opt-ins, message templates, message categories, message content and recipients.
- Zephico may restrict or suspend functionality where we reasonably suspect abuse, spam or policy violations.
- Meta or WhatsApp may change their APIs, prices, policies, limits, message categories or availability at any time, and Zephico does not control that.
- Zephico does not control Meta's approval decisions, account restrictions, template approvals or message delivery, and cannot guarantee that Meta will approve a business, phone number, display name or template.
- Third-party fees from Meta or telecom providers may apply.
- Connecting Jhaveri does not make Zephico the owner of a business's WhatsApp Business Account or phone number.
- A business must not use Jhaveri to send unlawful, deceptive, unsolicited or abusive messages.
"WhatsApp" and "Meta" are trademarks of their respective owners. Zephico and Jhaveri are not endorsed by or affiliated with Meta unless expressly stated otherwise.
7. Acceptable use
You must not use our services to:
- Send spam or unlawful messaging
- Commit fraud, harassment or impersonation
- Distribute malware
- Gain unauthorised access to systems or accounts
- Reverse engineer our software, where not legally permitted
- Circumvent platform limits
- Collect information without authority to do so
- Upload infringing content
- Share illegal or misleading product information
- Use another business's account, phone number or customer list without permission
8. Customer content and permissions
- Businesses retain ownership of the content they upload.
- Businesses grant Zephico a limited licence to host, process and display that content solely to operate and improve the contracted service.
- Businesses warrant that they hold the rights needed for their product images, logos, customer information and message content.
- Zephico may remove content it reasonably believes violates the law, a third party's rights, or these terms.
9. Zephico intellectual property
Zephico owns the Jhaveri software, Zephico branding, website design, documentation and non-customer platform technology. We do not claim ownership of a customer's trademarks, jewellery images or customer data.
10. Third-party services
Our services integrate with third parties including Meta/WhatsApp, hosting providers and payment processors. Their availability and policies are outside Zephico's direct control.
11. Fees and payment
Jhaveri is sold as software: a business pays for the software itself, then pays ongoing monthly maintenance to keep it running and supported. Exact pricing, setup fees and maintenance fees are set out in the applicable order form or agreement between Zephico and the business, not on this page — where applicable, that agreement is the source of truth on:
- Software and monthly maintenance fees, and applicable taxes
- Third-party usage fees, including Meta/WhatsApp messaging charges
- Payment due dates and renewal terms
- Suspension for non-payment
- Refund terms as specified in the applicable plan or agreement
We do not state prices or refund periods here that have not been agreed separately.
12. Availability and modifications
We perform maintenance, ship updates and change features over time, which may cause reasonable service interruptions. We do not promise 100% uptime unless a signed SLA says so.
13. Suspension and termination
Zephico may suspend or terminate access for reasons including:
- Non-payment
- Security threats
- Illegal use
- Meta/WhatsApp policy violations
- Abuse or spam
- Material breach of these terms
- Risk to other users or the platform

14. Disclaimers
- Our services are provided subject to the applicable agreement between the parties.
- Third-party integrations, including WhatsApp, may be unavailable at times outside our control.
- Zephico does not guarantee Meta approval or message delivery.
- Jewellery businesses remain responsible for their own commercial offerings.
- Jhaveri is sold as software, with ongoing maintenance — Zephico is not liable for lost sales, lost revenue or other business losses arising from a jewellery business not having, or not properly maintaining, its own WhatsApp Business Account or other communication channel.
We do not disclaim responsibilities that cannot legally be excluded in your jurisdiction.
15. Limitation of liability
To the extent permitted by law, Zephico's total liability arising from these terms or the services is limited to the total fees paid by the business to Zephico for the service giving rise to the claim in the 12 months before the claim arose. This limit specifically excludes any liability for lost sales, lost profits or other business losses arising from a jewellery business's own WhatsApp Business Account setup, configuration or use — Jhaveri is provided as software, not as a guarantee of sales outcomes. This does not limit liability that cannot legally be excluded or capped in your jurisdiction.
16. Indemnification
To the extent permitted by law, a jewellery business using Jhaveri agrees to indemnify and hold Zephico harmless from claims, damages, losses and reasonable legal expenses arising from:
- Content or data the business uploads or sends through Jhaveri
- Unlawful, unauthorised or non-compliant messaging sent through the business's connected WhatsApp Business Account
- Infringement of a third party's intellectual property or other rights by the business's content
- The business's violation of these terms or of Meta's or another applicable third party's terms
Zephico will give reasonably prompt notice of a claim covered by this section and reasonable cooperation, at the business's expense, in its defence.
17. Governing law and disputes
These terms are governed by the laws of India, with Nadiad, Gujarat, India as the relevant jurisdiction.
The parties will first attempt to resolve any dispute through good-faith negotiation for 30 days. Unresolved disputes will be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated in Nadiad, Gujarat, conducted in English.
18. Changes to terms
We may update these terms from time to time. Updates will be published on this page with a new "Last updated" date. Subject to applicable law, continued use of our services after an update constitutes acceptance of the revised terms.
